How to Register a WFOE in Hangzhou: The Digital Economy Entry Point

Home to Alibaba and China’s leading ‘soft + hard’ digital economy, Hangzhou offers a practical, business-friendly alternative for tech, e-commerce, and digitally native companies.

Hangzhou pairs a genuinely innovation-driven economy with a registration process that remains comparatively straightforward for foreign investors.

Hangzhou has grown from a tourist city known for West Lake into China’s leading digital economy hub, anchored by Alibaba and a dense network of e-commerce, fintech, and software companies. The city is now in the middle of a deliberate shift from a purely “soft” internet economy toward deep software-hardware integration, using AI to power advanced manufacturing.

As more investors look beyond Shanghai following the 2026 registered address tightening, Hangzhou has emerged as one of the most practical alternatives — particularly for tech-enabled and digitally native business models.

Hangzhou WFOE Setup: Registration & Activation

The Hangzhou WFOE setup happens in two distinct steps: registration, then activation.

1

Registration

~3 weeks

From name pre-approval to business license in hand — the timeline below excludes Hague Apostille processing and international courier time for your home-country documents, which vary by country.

  1. Name Pre-Approval & Structure Planning~1 week

Confirm company name, business scope, registered capital, and shareholding structure. This stage does not include the time needed for Hague Apostille processing or international courier delivery of your home-country documents to China, which varies by country.

  2. Submission to Business License~2 weeks

Once your full document set is in hand in China, we submit the application to the local Administration for Market Regulation and collect the business license upon approval.

2

Activation

~2–3 weeks

Tax activation and corporate bank account opening — the steps that turn a registered license into an operating company.

  1. Tax Bureau Activation~1 week

Registering the new entity with the local tax bureau, including invoice (fapiao) system setup.

  2. Corporate Bank Account Opening1–2 weeks

Bank appointment booking, application, and account activation. This is typically the step requiring an in-person visit — see note below.

In-Person Requirement

Registration itself (name pre-approval through business license) can be completed without the legal representative traveling to China — a passport original plus Hague Apostille is enough. Activation is different: opening the corporate bank account generally requires a real-name-registered Chinese mobile number, and getting one requires an in-person visit to a carrier. In practice, this means the legal representative typically still needs to come to China for the activation phase, unless they already hold a real-name-verified China SIM card from a previous visit. We can pre-book your bank appointment in advance so your time on the ground is as short as possible.

Hangzhou’s Industrial DNA

Hangzhou calls itself China’s ‘lead goose’ of the digital economy — the most service- and software-driven of the major Yangtze River Delta cities, now actively expanding into AI-powered hardware manufacturing.

74%
Of GDP from services — the highest share among major Chinese cities
63.2%
Producer (B2B) services as a share of GDP, nationally leading

Through its ‘296X’ industrial roadmap, Hangzhou is targeting 2 trillion-RMB-level and 9 hundred-billion-RMB-level advanced manufacturing clusters — built on top of its existing e-commerce and fintech base.

Why Register in Hangzhou?

Beyond its tech ecosystem, Hangzhou offers several practical advantages for foreign-owned companies:

Digital Economy Clustering

Proximity to Alibaba, Ant Group, and thousands of supporting e-commerce, logistics, and fintech vendors makes partner and supplier discovery faster for relevant business models.

Lower Operating Costs Than Shanghai

Office rents and local service costs are typically lower than Shanghai while still offering strong infrastructure and talent access.

E-Commerce & Cross-Border Trade Support

Hangzhou operates one of China’s earliest and most mature Cross-Border E-Commerce Pilot Zones, which can simplify import/export and bonded warehouse arrangements for relevant businesses.

Efficient Local Administration

Hangzhou’s government has invested heavily in digitizing business registration and compliance filings, which generally translates into faster processing times.

Hangzhou FAQ

Is Hangzhou a good fit for non-tech businesses?
Yes, though it’s particularly strong for tech, e-commerce, and digitally native models. Trading and consulting businesses also register successfully here.
Does Hangzhou offer free registered addresses like Shanghai parks used to?
Most Hangzhou addresses now involve a service fee, similar to other major cities, though rates are generally competitive.
Can I set up a cross-border e-commerce company in Hangzhou?
Yes. Hangzhou’s Cross-Border E-Commerce Pilot Zone is one of the most established in China, with supporting bonded logistics infrastructure.
Can I register a Hangzhou company without traveling to China?
Registration, yes. As part of the Yangtze River Delta, the legal representative does not need to appear in person, with a passport original plus Hague Apostille sufficient. Activation (tax and bank account opening) typically still requires an in-person visit. See the note above.
Do I need to relocate to Hangzhou to manage the company?
No. Many foreign-owned Hangzhou WFOEs are managed remotely with a local team handling day-to-day operations, provided compliance and tax filings are properly maintained.
